En virtud de lo previsto en el artículo 17 del Reglamento (UE) nº 596/2014 sobre abuso de mercado y en el artículo 228 del texto refundido de la Ley del Mercado de Valores, aprobado por el Real Decreto Legislativo 4/2015, de 23 de octubre, y disposiciones concordantes, así como en la Circular 3/2020 del segmento BME Growth de BME MTF Equity, ponemos en su conocimiento la siguiente información relativa a CLERHP Estructuras, S.A. (en adelante también referida como CLERHP):
Adquisición de participación de control en VISUAL
TECHNOLOGY LAB
CLERHP continúa liderando la transformación digital del sector, incrementando su inversión en el proceso de digitalización de su modelo de negocio mediante la adquisición del 55% del capital de Visual Technology Lab, S.L. (www.vt-lab.com), compañía española especializada en servicios de alta productividad para los sectores de arquitectura, ingeniería y construcción, en los que integra Building Information Modeling (BIM), realidad virtual, realidad aumentada y realidad mixta para soluciones en obra, a través de tres tipos de soluciones:
1. Diseño y planificación de proyectos.
Permite comprender mejor la dimensión y alcance de un proyecto gracias a la visualización 3D del modelo BIM, desde cualquier dispositivo y a través de cualquier interfaz. Permite experimentar digitalmente el diseño, testear y realizar cambios antes de completar el diseño final y visualizarlo directamente como si fuera real.

2. Soluciones de construcción y fabricación.
Trabajar con el Gemelo Digital de su modelo permite a las compañías disponer de la información necesaria, en el lugar adecuado y el contexto correcto, para optimizar sus proyectos: Construcción 4.0. Permitirá a CLERHP maximizar el valor añadido proporcionado a sus clientes, la eficiencia de sus procesos y la optimización de sus resultados.
3. Operación y mantenimiento.
La compañía realiza el mantenimiento y gestión de activos. Elabora y gestiona planes de emergencia o guías y trainings virtuales gracias a la dualidad ciber-física generada por las Soluciones de Operación y Mantenimiento desarrolladas, y que aportarán a CLERHP un gran salto cualitativo en el servicio a sus clientes.
CLERHP ha invertido 400.001 euros en la transacción. De éstos, 130.301 euros han sido en capital y 269.700 euros en forma de préstamo y de línea de crédito a cinco años renovable anualmente.
La inversión realizada por CLERHP en Visual Technology Lab se destinará a impulsar su plan de expansión y crecimiento, cuyas sinergias con la estrategia de CLERHP son directas y suponen un salto cualitativo para la compañía.
D. Juan Andrés Romero Hernández, Presidente de CLERHP, ha sido nombrado también Presidente del Consejo de Administración de Visual Technology Lab.

Acquisition of control participation in VISUAL
TECHNOLOGY LAB
CLERHP continues to lead the digital transformation of the sector, increasing its investment in the digitization process of its business model through the acquisition of 55% of the capital of Visual Technology Lab, S.L. (www.vt-lab.com), a Spanish company specialized in high productivity services for the architecture, engineering and construction sectors, in which it integrates Building Information Modeling (BIM), virtual reality, augmented reality and mixed reality for solutions in work, through three types of solutions:
1. Design and planning of projects.
It allows a better understanding of the dimension and scope of a project thanks to the 3D visualization of the BIM model, from any device and through any interface. It allows you to digitally experiment with the design, test and make changes before completing the final design and viewing it directly as if it were real.
2. Construction and manufacturing solutions.
Working with the Digital Twin of its model allows companies to have the necessary information, in the right place and in the right context, to optimize their projects: Construction 4.0. It will allow CLERHP to maximize the added value provided to its clients, the efficiency of its processes and the optimization of its results.

3. Operation and maintenance.
The company performs maintenance and asset management. It prepares and manages emergency plans or virtual guides and trainings thanks to the cyber-physical duality generated by the Operation and Maintenance Solutions developed, which will provide CLERHP with a great qualitative leap in service to its clients.
CLERHP has invested 400,001 euros in the transaction. Of these, 130,301 euros have been in capital and 269,700 euros in the form of a loan and a five-year line of credit renewable annually.
The investment made by CLERHP in Visual Technology Lab will be used to promote its expansion and growth plan, whose synergies with CLERHP's strategy are direct and represent a qualitative leap for the company.
Mr. Juan Andrés Romero Hernández, President and CEO of CLERHP, has also been appointed President of the Board of Directors of Visual Technology Lab.
