Jay Parthemore

Jay Parthemore, aged 61 yrs, has served as a special director of the Company's Exchangeable, Redeemable Preferred Stock since February 2003, when he was elected by the Board of Directors to fill a vacancy.
Mr. Parthemore is currently retired.
Over a thirty-three year career, Mr. Parthemore held worldwide marketing executive positions with AT&T and IBM.
Mr. Parthemore's term as a special director of the Company expires at the annual meeting of stockholders in 2007, or, if earlier, the date on which all dividend arrearages on the Exchangeable Redeemable Preferred Stock have been paid.
